Davis Polk advised the administrative agent and collateral agent, and the joint lead arrangers, joint bookrunners and syndication agents, regarding the USD6.4 billion credit facilities being provided to Maple Holdings Acquisition Corp., a company controlled by JAB Holding Company S.a.r.l., certain of its affiliates and certain co-investors, in connection with its acquisition of Keurig Green Mountain, Inc. The financing consisted of a USD3.075 billion term loan A facility, USD1.875 billion and EUR842 million term loan B facilities and a USD500 million revolving credit facility. The proceeds of the term loan credit facilities were used to finance the acquisition of Keurig and to refinance Keurig's existing credit facilities. The revolving credit facility was to be used for general corporate and other purposes.
